Each piece of work is scoped and agreed before it begins. The scope will normally be confirmed through email, proposal, or written agreement.
Unless explicitly stated otherwise, work is limited to the agreed scope and additional work may require a revised quote.
client responsibilities
Clients agree to provide accurate information, supply necessary system access, and respond to feedback or approval requests within a reasonable time.
Clients must ensure they have the right to provide any materials used in the work.
payment
Prices are shown clearly and exclude VAT unless stated otherwise.
Payment terms are agreed before work begins. Unless otherwise agreed, invoices are payable within 14 days.
Work may be paused if payment becomes overdue.
Work remains the property of Ratio Studio Ltd until payment is received in full.
client approval
Clients may be asked to review and approve recommendations, designs, copy, or technical changes before they are implemented.
Once approval has been given, responsibility for the approved material transfers to the client.
Ratio Studio Ltd is not responsible for issues resulting from materials, content, or decisions that have been approved by the client.
intellectual property
Clients retain ownership of their brand, content, and business materials.
Ratio Studio Ltd retains ownership of internal tools, templates, methodologies, and processes.
Once payment is complete, clients are free to use the deliverables produced for their business.
third party services
Digital work often relies on platforms such as search engines, hosting providers, analytics tools, and advertising systems.
I have no control over these platforms and cannot guarantee results dependent on them.
limitations of advice
Care is taken to provide accurate and useful advice and services.
However, search rankings, traffic levels, or commercial outcomes cannot be guaranteed.
Digital performance depends on many external factors including competition, algorithms, user behaviour, and third-party platforms.
liability
Services are provided with reasonable care and professional skill.
Ratio Studio Ltd is not liable for indirect losses such as loss of profits, revenue, or business opportunity.
Liability will not exceed the amount paid for the services provided.
Nothing in these terms limits liability where it would be unlawful to do so.
no reliance
Recommendations and analysis are provided based on the information available at the time.
Decisions made by the client based on this advice remain their responsibility.
Recommendations should be considered professional guidance rather than guarantees of outcomes.
events outside reasonable control
Sometimes things happen that neither side can reasonably control.
This includes outages, platform changes, internet disruptions, third-party failures, or other unexpected events.
Delays caused by these circumstances will not be considered a breach of these terms.
confidentiality
Confidential information shared during the course of work will be treated with reasonable care and not disclosed unless required to deliver services or required by law.
governing law
These terms are governed by the laws of England and Wales.
